Editorial - A Week of Poultry Processing Mega-Mergers
After two weeks of rumours and speculation, it has been announced this week that JBS is to purchase a majority equity stake in Pilgrim's Pride following the latter's reorganisation. Pilgrim's Pride and JBS have agreed to a transaction representing an enterprise value of approximately $2.8 billion.
Under the terms of the plan of reorganisation, Pilgrim's Pride has entered into an agreement to sell 64 per cent of the new common stock of the reorganised entity to JBS S.A., through its JBS USA Holdings, Inc. subsidiary (JBS U.S.A.), for $800 million in cash.
The latest acquisition makes JBS a serious competitor to Tyson Foods in the three largest meat proteins – beef, chicken and pork. JBS becomes the second largest chicken producer, third largest beef producer and third largest pork producer in the US. Tyson will rank first, first and second in those three species, respectively.
JBS's apparent ambition to become the world's number one meat company took a further step forward today as it took over Bertin, Brazil's third largest beef producer.
All this corporate activity comes within two days of the announcement that Marfrig has acquired Seara from Cargill. The Brazilian meat processor has bought the entire business of Seara Alimentos Ltda – the poultry, pork and processed meat operations, including subsidiaries in Europe and Asia, and the brand, Seara, in Brazil and abroad.
